This document outlines the terms and conditions for Sellers on Nauvoo Supply Co. to list, sell, and fulfill orders for their products, goods, or downloadable content.

 1. Fees and Payments policy

Seller fees from our platform and information about paying taxes are typical of retail platforms, including item setup, and transaction fees. 

a. Selling fees. 

There are various fees Sellers need to be aware of. All Sellers will incur item listing fees when you create a new item listing and transaction fees when an item sells.

Some Sellers will have other fees to be aware of. Sellers who have digital items to download pay a digital download item setup fee, and Sellers who use our print-on-demand service  Unlike other marketplaces, we do not pass payment processing fees onto our Sellers (see Payment processing below).

You should be aware of shipping costs, but we don’t consider the shipping cost a fee. 

i. Standard item listing fee. Our standard item listing fee is 25¢ per item listed. This fee helps cover our labor costs of creating new items. This does not include variations of the same item. We don’t collect this fee up front, it is deducted from your earnings and will be deducted the first time the item sells.
ii. Print-on-demand item setup fee. Our print-on-demand item setup fee is $4.00 per item. Applies only if you’re using our print-on-demand service. This fee helps cover our labor costs of using your artwork to set up new printable items on our platform. We don’t collect this fee up front, it is deducted one time from the first time you sell the item. We deduct this from your earnings.
iii. Digital download item setup fee. $1.00 per item setup. Applies only if you’re selling digital downloads. This fee helps cover our labor costs of using your artwork to set up new printable items on our platform. We don’t collect this fee up front, it is deducted one time, the first time you sell the item. We deduct this from your earnings.
iv. Digital music setup fee. $4.00 per album setup. Applies only if you’re selling digital downloads. This fee helps cover our labor costs of using your artwork to set up new printable items on our platform. We don’t collect this fee up front, it is deducted one time, the first time you sell the item. We deduct this from your earnings.
v. Platform fee. The Nauvoo Supply Co platform fee is 20%. This fee helps cover the cost of our marketplace software platform, web, and email hosting costs. This fee is deducted from item sales.

b. Payment processing fees

Nauvoo Supply Co. uses a third-party payment processor in order to accept payments from various payment service providers. Our payment processor charges a fee is 2.9% of the transaction amount.

 

2. Intellectual Property policy

a. Seller Representations and Warranties

By accepting this agreement, and listing items on Nauvoo Supply Co., the Seller represents and warrants that:

i. They have the legal right and authority to sell the products they are offering for sale on Nauvoo Supply and that the products do not infringe upon the intellectual property rights or any other proprietary rights of any third party.
ii. They have all necessary permits, licenses, and authorizations to sell their products, and that they will comply with all applicable laws and regulations regarding the sale and shipment of their products.
iii. Their products are not counterfeit, stolen, or illegally obtained.
iv. The product descriptions and photographs provided are accurate, complete, and not misleading in any way. The Seller agrees to promptly update any product information or photographs in the event of any changes to the item itself.
v. The products being sold are of high quality and free from defects. In the event that a product is found to be defective or does not meet the quality standards described by the Seller, the Seller agrees to promptly address the issue with the Buyer and offer a refund, or replacement, or other a resolution.
vi. The Seller will not engage in any fraudulent or deceptive practices related to the sale of their products on Nauvoo Supply Co. This includes misrepresenting the condition or quality of the products, engaging in false advertising, or engaging in any other practices deemed unethical or illegal by Nauvoo Supply Co..
vii. The Seller will comply with all terms and conditions set forth in this agreement, including those related to fees, returns, and shipping policies.

By acknowledging this agreement, the Seller understands that any breach of these representations and warranties may result in termination of this agreement and potential legal action.

b. Ownership of Content and Intellectual Property

The Seller agrees that all content they provide to Nauvoo Supply, including product descriptions, photographs, and any other materials, shall remain the property of the Seller. However, by providing such content, the Seller grants Nauvoo Supply a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, display, reproduce, modify, and distribute such content for the purposes of operating the Nauvoo Supply marketplace.

The Seller represents and warrants that all content they provide to Nauvoo Supply does not infringe upon the intellectual property rights of any third party. The Seller agrees to indemnify and hold Nauvoo Supply harmless from any claims, damages, or losses arising from any infringement of third-party intellectual property rights related to the Seller's content.

Nauvoo Supply respects the intellectual property rights of others and requires all Sellers to do the same. If a Seller is found to be infringing upon the intellectual property rights of a third party, Nauvoo Supply reserves the right to terminate this agreement and take appropriate legal action.

c. Use of Nauvoo Supply Co. content

The Seller agrees not to use any Nauvoo Supply trademarks, logos, or other proprietary information without Nauvoo Supply's prior written consent. Any use of Nauvoo Supply's trademarks, logos, or other proprietary information without such consent may result in termination of this agreement and potential legal action.
